1. Acceptance of These Terms

These Terms of Service ("Terms") govern your use of the website, business systems, and digital services provided by BookAI Studio, a DBA of BrightSpan Holdings LLC ("we," "us," or "our"). By requesting, purchasing, subscribing to, or using any of our services — including managed websites, client portals, CRM setup, booking and lead systems, payments, automation, AI assistants, and monthly support — you agree to these Terms. If you do not agree, do not use our services.

2. Services We Provide

We build and manage small-business digital systems, which may include: managed websites, client portals, CRM records, lead forms, booking requests, invoice and payment flows, missed-call text-back, website chatbots, AI voice receptionist (where available), local SEO structure, analytics, and monthly updates, reporting, and support. Services are described on our Services and Packages pages and may change as we improve our offerings.

3. Orders, Deposits and Payment

When you place an order you will be asked to pay a setup deposit (typically 50% or as shown at checkout) before work begins. The remaining balance is due before launch unless a payment plan is agreed. We accept payment by credit/debit card (Stripe), PayPal, and Zelle. All payments are in U.S. dollars. Prices shown on the site are estimates; final pricing may change after review of your business details, and we will confirm the final price with you before charging beyond the deposit.

4. Subscriptions and Automatic Renewal

Monthly plans (for example Local Starter System, Website + Business System, Growth Automation System) renew automatically each month until cancelled. You authorize us to charge the subscription fee to the payment method you provided. We will send a reminder before each renewal in accordance with applicable law. You can cancel at any time by emailing admin@bookaistudio.com or by using the payment portal link we provide; cancellation takes effect at the end of the current billing period. We may change subscription fees with at least 30 days' notice.

5. Refunds

Refunds are governed by our Refund Policy. In general: setup deposits are refundable if we have not yet started meaningful work; once design and development has begun they are non-refundable except where required by law. Monthly subscription fees are non-refundable for the period already billed but can be cancelled for future periods. EU/UK consumers have a 14-day cooling-off period for most digital services unless the service began immediately with their consent.

6. Your Content and Responsibilities

You keep full ownership of the content you provide (text, images, logos, menus, prices, business information). You give us a limited license to use that content to build, host, and manage your website and systems. You are responsible for the accuracy of all content you provide and for making sure you have the rights to use it, including trademarks, photos, and reviews. You must not use our services to publish illegal, deceptive, or harmful content, or to infringe third-party rights.

7. Third-Party Services and Providers

Our services rely on trusted third-party providers such as Stripe (payments), PayPal, hosting providers, domain registrars, email services (Mailcow/SMTP), Mautic (CRM), Google Analytics and Meta Pixel (analytics), and AI models (Ollama). These providers are independent companies with their own terms and privacy policies. We are not responsible for their outages, changes, or policies. When you subscribe to a third-party tool we set up for you (for example, a domain or a CRM), your agreement with that provider may be separate from ours.

8. AI and Automation Disclaimer

Our systems may use AI and automation (chatbots, AI voice receptionist, content suggestions, follow-up messages). AI output can contain errors. You are responsible for reviewing and approving content and automated messages before they go live, and for maintaining appropriate oversight. We are not liable for decisions made based on AI output.

9. Prohibited Uses

• Break the law or violate the terms of any third-party platform.
• Publish spam, scams, fake claims, illegal content, or harmful content.
• Attempt to access or use accounts, systems, or data you do not own.
• Misuse personal data collected through our services.
• Scrape, copy, or reuse our websites, systems, or templates to build a competing service.

10. Availability and Support

We work to keep systems online and accurate, but we do not guarantee uninterrupted availability or error-free performance. We are not liable for delays caused by third parties (hosts, payment processors, AI providers), content or files you submit late, force majeure events, or outages of services we depend on. Monthly support includes the items described in your plan (edits, reporting, improvements) and reasonable support requests by email.

11. Intellectual Property

Our websites, templates, design systems, software, and branding remain our property (or our licensors'). We do not claim ownership of your content. Upon full payment, you receive the rights to the content and design we specifically create for your business (unless we agree otherwise in writing). We may show your site as a portfolio sample unless you tell us otherwise.

12. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising from or related to the service (including loss of profits, loss of data, loss of business, or indirect, incidental, or consequential damages) is limited to the amount you paid us in the three (3) months before the claim. Some states do not allow the exclusion of implied warranties or the limitation of incidental or consequential damages, so those limitations may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless BookAI Studio, BrightSpan Holdings LLC, and their officers, employees, and subcontractors from claims, damages, and expenses (including reasonable legal fees) arising out of your content, your use of the services, your breach of these Terms, or your violation of the law or third-party rights.

14. Termination

Either party may end a subscription by providing the other with notice of the end of a billing period. We may suspend or terminate access immediately if you violate these Terms, fail to pay amounts due, or use the services in a way that threatens our systems or other customers. On termination, you must provide or retrieve your content promptly; we may delete remaining data in accordance with our Privacy Policy and Data Deletion policy. Any setup fees already paid are governed by the Refund Policy.

15. Disputes and Governing Law

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-law rules. We both agree to first try to resolve disputes informally by contacting us at admin@bookaistudio.com. Any unresolved disputes shall be resolved in the state or federal courts located in Atlanta, Georgia, and you consent to that venue. Where applicable law permits, you waive the right to participate in class actions against us.

16. DMCA and Copyright

We respect the intellectual property of others. If you believe content on our website or a system we host infringes your copyright, send a DMCA notice to admin@bookaistudio.com with: identification of the copyrighted work, the URL where the material appears, your contact information, and a statement of good faith belief of infringement. We will respond in accordance with the DMCA.

17. Changes to These Terms

We may update these Terms from time to time. The latest version will always be on this page with the effective date. Your continued use of the services after changes are posted means you accept the updated Terms.
